The New Company

Veralto

On September 14, 2022, Danaher announced its intention to separate its Environmental & Applied Solutions segment to create an independent, publicly traded company.   The new company will be called Veralto and will be comprised of an outstanding collection of market-leading brands in Danaher's Environmental and Applied Solutions (EAS) segment:  Hach, ChemTreat, Trojan, OTT HydroMet, and McCrometer from Danaher's Water Quality Platform and Videojet, Esko, X-Rite Pantone and Linx from the Product Identification Platform. The EAS segment generated revenue of approximately $4.8 billion in 2022 and has a global team of approximately 16,000 associates. As stewards of the world's most vital resources, Veralto will help ensure billions of people have safe food, water, and medicines every day. With a strong Danaher heritage, the Veralto team will continue to deliver trusted expertise to solve its customers' most complex workflow challenges.  Its culture of continuous improvement will be codified in the Veralto Enterprise System, which is derived from the Danaher Business System. Veralto will be headquartered in Waltham, Massachusetts, and intends to apply to list its common stock on the New York Stock Exchange under the symbol VLTO.

               

In 2016, Danaher separated its industrial segment and stood up Fortive (NYSE: FTV), creating the separate public entity that has since progressed further in its industry segment and seen significant revenue growth and stock value since separation from Danaher. Danaher also separated its dental segment Envista (NYSE: NVST) in 2019, creating another separate public entity that will continue to see future value. Both companies were driven by the same strong core values and foundations provided by the Danaher Business System and Danaher's associates are pursuing a focused strategy aimed at creating a premier stand-alone EAS company as well. The diversified EAS company will be comprised of existing Danaher companies that are leaders in their markets, including:  Hach, ChemTreat, Esko, Linx, McCrometer, Trojan, Videojet, and X-Rite.

               

About the role:

Vice President - Veralto

Location: Boston, MA 

Onsite with flexibility

The treasury leader will join a unique environment: a new and highly dynamic

$ 4.7B industrials company with 20% OP and a mandate to grow.  The new treasury leader will play a vital role as the company ramps up global acquisition activity and moves rich targets through the M&A pipeline.  Immediate challenges will include complexities of separation from Danaher and partnering

                                           Responsibilities will include, but not be limited to:

  • Recommend capital structure to management & Board of Directors
  • Provide input to the CFO on key financial policies, e.g. dividend policy, leverage targets.
  • Execute global debt and equity transactions to finance company operations
  • Liase with credit ratings agencies 
  • Maintain and develop bank relationships to attract capital, leverage purchasing power, and respond to business needs globally. Arrange and negotiate revolver and other bank financings.   
  • Oversee investment of company’s investments globally, including cash deposits. Execute open market purchases of toe hold investments or share repurchases, as warranted by company objectives.
  • Formulate treasury management and other financial policies;
  • Lead or provide support on special projects;
  • Travel both domestically and internationally as needed, estimated 10%.

Selection criteria            The ideal candidate will bring world-class expertise in global banking, capital markets, and corporate finance principles.  He or she will be a first-class treasury professional with excellent experience placing debt in global markets and building strong relationships with bankers.  EMEA-based experience and relationships will be highly relevant. A leader and relationship manager, the final candidate will have excellent interpersonal and communications skills with external and internal contacts.

We expect the right person will have a minimum of 8 years of work in corporate finance or banking within a Fortune 500 company setting.  We require a bachelors degree in Accounting, Finance, or Economics, with an MBA or CTP preferred.  In addition, the best candidates will have the following traits:

  • Strong quantitative and analytical skills paired with a “roll up the sleeves” style that gets things done through collaboration and hard work;
  • Leadership demonstrated through hands on involvement and team management practices including the development of staff and others toward improved skills, independence, and initiative;
  • Strong vendor management skills including contracting, metrics, issue resolution, budget management, and driving continuous improvement.
  • Oriented towards goal-setting, metrics and results with the ability to establish a strong sense of responsibility, accountability, and enthusiasm among the teams with which he/she interacts;
  • Continuous improvement mindset and alignment with EASCo’s Leadership Anchors;
  • A track record of sound financial and business judgment, strategic impact, and broad financial and business acumen across prior organizations.
