Corporate Secretary

AXA XL trades in the UK through AXA XL Underwriting Agencies Limited (“AXUAL”) (the Lloyd’s Managing Agent of Syndicates 2003 & 3002, and AXA XL Insurance Company UK Limited (“AXICL UK”), a London based Insurer, (the “Companies”). Both are domiciled in the United Kingdom and are members of the AXA XL group of companies, a Division of AXA S.A.

The role of Corporate Secretary is a member of the AXA XL UK & Lloyd’s Company Secretarial Team, supporting the Senior Company Secretary with the delivery of an effective and high-quality company secretarial service to the Boards, Committees and governance framework of AXA XL’s two key UK regulated insurance companies (AXUAL and AXICL UK) and other AXA XL subsidiary companies in the UK.

What will your essential responsibilities include?

Working closely with the Senior Company Secretary and other members of the Company Secretarial team, your responsibilities will include:

·         Board and Committee Support

§  Assisting with the provision of company secretarial support to the Boards, Board Committees and other key executive committees of the UK regulated entities; organising and attending meetings, maintaining annual planners of key items for consideration, preparing minutes and tracking action points.

·       Supporting the collection, collation, upload and distribution of board and committee papers, using Diligent Boards.

·       Providing support to Non-Executive Directors, including onboardings, Board inductions and training.

 

 

 

 

·         Entity Management

§  Responsible for ensuring the maintenance of statutory records for the UK entities falling within the remit of the Company Secretarial team, including the timely submission of statutory filings.

§  Support corporate transactions as required, including drafting board resolutions and supporting briefing materials for directors.

§  Support the annual financial year end process, including managing the annual directors’ information trawl; and assisting with the review and preparation of corporate governance related disclosures in financial statements and regulatory reporting.

§  Supporting knowledge management processes to ensure that the Company’s (and AXA Group’s with respect to the UK entities) knowledge databases are up to date.

 

·         Corporate Governance

§  Horizon scanning for changes in the corporate governance landscape.

§  Assisting with the Company Secretarial team’s provision of corporate governance related advice and the implementation of corporate governance requirements (stat and regulatory) in accordance with constitutional documents, AXA Group Standards and Board/Committee procedures.

§  Assisting with supporting the efficient management of the executive level of the governance framework so that information flows efficiently both ways and up to the Board as appropriate, and matters follow the appropriate governance pathways.

§  Supporting the Senior Company Secretary on corporate governance-related special projects.

 

·         Other

§  Assisting with Company administrative tasks related to the activities of the Company Secretarial team, including know your customer and other information requests.

·       Managing the delivery of Board and Committee meeting pack reporting to regulators.

SHARE your talent

We’re looking for someone who has these abilities and skills:

Required Skills and Abilities:

·       Prior experience in a company secretarial role, preferably in financial services.

·       A relevant degree and/or Corporate Governance Institute qualified.

·       Knowledge of UK company law in general and particularly the Companies Act 2006.

·       Robust minute writing skills, preferably gained within financial services.

·       Interpersonal Communication: excellent verbal and written communication and influencing skills.

·       Ability to work in an international, multicultural environment.

·       Ability to work independently and on own initiative whilst being part of a wider team.

·       Ability to prioritise conflicting needs, progress matters expeditiously and follow through on projects to successful completion.

·       A proactive approach to problem-solving with good decision-making capabilities.

Desired Skills and Abilities:

·       Prior experience of the Lloyd’s market desirable, but not essential.
